These Terms and Conditions apply to all services and purchases made from Inglis Works, operated by Fergus Inglis, sole trader (“we”, “us”, “our”). By placing an order, commissioning work, or using our website, you agree to these terms.
We operate and ship within the United Kingdom.

1. Business Information

SECTION A — BUSINESS CUSTOMERS (SERVICES & CUSTOM WORK)
Applies to all branding, embroidery, printing, design, signage, merchandise production, and fulfilment services.

2A. Quotations, Pricing & Payment
•     All quotations are valid for 14 days unless stated otherwise.
•     Prices may change at any time before acceptance of a quote.
•     A contract is formed only when we confirm acceptance in writing.
•     Deposits are non‑refundable.
•     Work does not begin until payment terms are met (deposit or full payment as specified).
•     For B2B customers, we may apply statutory late payment interest (8% + Bank of England base rate) on overdue invoices.
•     We may suspend work for non‑payment.

3A. Artwork, Intellectual Property & Approvals
•     You confirm that you own or have permission to use all artwork, logos, and designs supplied.
•     You indemnify us against any claims arising from copyright or trademark infringement caused by your supplied artwork.
•     We are not responsible for errors in artwork you provide (resolution, spelling, colour accuracy, layout).
•     Proofs must be checked carefully. Approval is final.
•     Once approved, changes may incur additional charges.
•     We retain intellectual property in any designs we create until paid in full.
•     Unless you request otherwise in writing, we may use completed work in our portfolio or marketing.

4A. Production Tolerances
Industry‑standard tolerances apply:
•     Colour variation between screens, garments, inks, and print methods.
•     Minor placement variation in embroidery/print.
•     Garment sizing tolerances as per manufacturer specifications.
•     Variation in material texture, weave, or finish.
These do not constitute faults.

5A. Delivery, Risk & Ownership
•     Delivery dates are estimates only. Time is not of the essence.
•     We are not liable for delays caused by couriers, suppliers, or events outside our control.
•     Risk passes to you upon delivery to the address provided.
•     Ownership passes only when payment is received in full.

6A. Cancellations & Returns (Business Customers)
•     No cancellations once production has begun.
•     No returns on personalised, printed, embroidered, engraved, or custom‑made items.
•     Services already performed are chargeable in full.
•     Stock items ordered specifically for your job cannot be cancelled.

7A. Faulty Goods (Business Customers)
•     You must notify us of any issues within 48 hours of delivery.
•     We may request evidence or return of goods for inspection.
•     Remedies are limited to repair or replacement at our discretion.
•     Refunds are only provided where repair or replacement is not possible.

8A. Club Shops (Hosted Stores)
•     We act solely as a production and fulfilment provider.
•     All branding, artwork, product selection, and pricing are approved by the club.
•     Any disputes regarding design, suitability, or branding must be directed to the club.
•     We are not responsible for sizing issues, club‑provided artwork, or club‑set deadlines.
•     Orders are produced on demand and are non‑returnable unless faulty.

SECTION B — WEBSHOP CUSTOMERS (CONSUMER LAW)
Applies only to individual consumers purchasing from club shops or the Inglis Works webshop.

2B. Pricing & Payment
•     We are not VAT‑registered; no VAT is charged.
•     A contract is formed only when we send a dispatch confirmation.
•     We may cancel orders before dispatch for any reason (including pricing errors).

3B. Production & Delivery
•     All items are made‑to‑order.
•     Delivery times are estimates only.
•     We are not liable for delays outside our control.
•     Risk passes to you upon delivery.

4B. Right to Cancel (Cooling‑Off Period)
Under the Consumer Contracts Regulations:
•     Personalised or custom‑made goods are exempt from cancellation.
•     Most club shop items fall under this exemption.
•     If an item is not personalised, you may cancel within 14 days of receiving it.
•     You must return items within 14 days of cancellation.
•     You are responsible for return postage.
•     Refunds include the item price plus basic delivery cost.
•     We may deduct value for excessive handling.

5B. Faulty Goods (Consumers)
Your statutory rights apply:
•     Refund within 30 days for confirmed faults.
•     Repair or replacement within 6 months.
•     Return postage refunded only if the item is confirmed faulty.

SECTION C — GENERAL TERMS (APPLIES TO ALL CUSTOMERS)

9. Limitation of Liability
•     Our total liability is limited to the price paid for the goods or services.
•     We are not liable for indirect or consequential losses, including loss of income, business, or opportunity.
•     Nothing excludes liability for death or personal injury caused by negligence, fraud, or anything else that cannot legally be excluded.

10. Events Outside Our Control
We are not liable for delays or failure to perform caused by events outside our reasonable control, including courier delays, strikes, supply shortages, or technical failures.

11. Governing Law
These terms are governed by the laws of England and Wales.
Any disputes will be handled exclusively by the courts of England and Wales.
